If and when Source Code and object code is transferred to <br />City, there shall be a single production fee paid to VENDOR for all applications of <br />$AMOUNT. ?? ????1 <br />E. APPLICATION SOFTWARE MAINTENANCE <br />Application Software Maintenance Extended to Five (5) Years <br />VENDOR will extend the software support and maintenance contract to five (5) <br />years from installation of Phase One applications. Applications software <br />maintenance shall include at no additional charge to CITY during the five year <br />maintenance period the complete and timely alteration of any and all applicable <br />software changes that are required or mandated by the State of Ohio, the Federal <br />Government, the Courts or any regulatory agencies. <br />VENDOR agrees to be the prime contractor for all software applications <br />purchased from VENDOR. VENDOR will acquire, deliver, install and certify <br />the proper operation of the software on a turnkey basis. This includes: <br />• Acting as a single point of contact for software installation and integration <br />issues, and software support issues, for all items purchased from VENDOR; <br />• Install, setup, configure, certify, and document application system software <br />modules; <br />• Install, setup, configure, certify, and document third party software on <br />servers and all workstations as appropriate; <br />• Demonstrate system performance according to acceptance criteria; <br />• Provide application system support and maintenance on application software <br />provided by VENDOR <br />Payment for Application Software Maintenance shall commence one year after <br />installation of Phase One software application modules. The software and <br />Maintenance contract will be pro-rated to fit the CITY's budget year. <br />Vendor Response Time <br />VENDOR agrees to provide a maximum 4-hour response time to acknowledge a <br />software support call, and 24-hour response time from the report call to fix the <br />reported software problem. VENDOR will use every reasonable effort to assign a <br />response to remedy the problem Maintenance is provided bv manufactures. See <br />their policies.. If the reported problem is mission critical (payroll processing, <br />year-end processing, tax billing), VENDOR will expedite support and service on a <br />priority basis to CITY. <br />Prepared by Barry Strock Consulting Associates, Inc.
