5. WARRANTY <br />Licensor warrants that the Application Software will be free from defects in material and <br />worlananship for a period of ninety (90) days after Licensor's installation as provided hereunder. <br />Licensor will make reasonable effort to conect any defects in the Applicatiori Software or make <br />such additions, rnodifications, or adjustments as necessary, in Licensor's reasonable judgment, to <br />put the Applica.tion Soflware in all material respects in operationa,l order. <br />Except for the specific warranties set forth above, there are no other warranties, expressed or <br />implied; made to the Licensee hereunder including warranties of fitness for a particular use or <br />purpose, or wananties of inerchantability. In no event will Licensor be liable for direct, indirect, <br />special, incidental, or consequential damages, that are in any way related to the Application <br />Soflware. <br />6. DOCUMENTATION <br />Licensor sha11 provide on-line Help facility to support the user's interaction with the Application <br />Software. Licensor grants Licensee the right to print and duplicate such documentation for its <br />internal use only. <br />7. MAINTENANCE SERVICES <br />Licensor sha11 provide such Maintenance Services as may be necessary and reasonable to cause the <br />Application Soflware to conform to and perform in a.ll material respects in accordance with the <br />? <br />applicable Soflware Specifications. For as long as Licensor is obligated to maintain and support <br />the Application Software under this Agreement, Licensor sha11 respond to customer's request for <br />assistance within eight (8) working hours (Monda.y through Friday, 8:30 a.m. to 5:00 p.m. EST, <br />holidays excluded) after such request is made. Additionally, Licensor shall use its best effort to <br />cause the Application Software to operate substantially in accordance with its specifica.tions. <br />8. APPLICATION SOFTWARE ENHANCEMENTS <br />Licensor ma.y from time to time, at its discretion, make available to the Licensee and its customers, <br />Application Soflware product enhancements. As part of the Maintenance Services to be provided <br />hereunder, all such applicable product enhancements to the Application Software shall be offered <br />to Licensor at no additional cha,rge, and therea,fter sha11 be considered Application Software <br />licensed to Licensor pursuant to an subject to the terms and conditions of this Agreement and <br />provide general user assistance by telephone in comiection with such product enhancements. <br />9. NOTIFICATIONS AND UPDATES <br />Licensor may from time to time, at its discretion, produce notifications, upda.tes, or conections of <br />existing known problems relating to the Application Soflware. As part of the Maintenance <br />Services to be provided hereunder, Licensor will make a11 notifications, updates or corrections <br />applicable to the Application Software available to Licensee at no additional cost. <br />Software and Technical Support Agreement Page - 3
