Any notice required or permitted to be given or served under this Lease or in connecaon <br />with any proceeding or action growing out of this Lease or the tenancy thereftom shall be <br />sufficiently given or served if mailed by registered or certified mail, postage prepaid, and addressed <br />as follows: If to Landlord, addressed to it at 5311 Northfield Road, Bedford Heights, Ohio 44146. <br />If to `I'enant, addressed to it as the building of which the demised premises are a part, or at such <br />other address as either of the parties hereto may advise the other paYty in writing from tune to time. <br />Bankruptcy: <br />16. Neither this Lease, not any interest therein, nor any estate thereby created shall pass to any <br />trustee or receiver or assignee for the benefit of creditors or otherwise by the operation of law. If <br />the estate created hereby shall be taken or attempted to be taken in execution or by other process of <br />law, or if Tenant shall be adjudicated insolvent or bankrupt pursuant to the provisions of any- state <br />or federal insolvency or bankruptcy act, or if a receiveY or trustee of the property of Tenant shall be <br />appointed by reason of Tenant's insolvency or inability to pay its debts, or if any assignment shall be <br />made or attempted to be made of Tenant's property fox the benefit of creditors, then and in any <br />such event Tenant will be deemed in default undex this Lease. The allowance of any petition under <br />the bankruptcy law, or the appointment of a trustee or receiver of tenant or its assets, shall be <br />conclusive evidence that Tenant caused, or gave cause, therefore in violation of this lease, unless <br />such allowance of the petition, oY the appointment of a trustee or receiver, is vacated within thirtv <br />(30) days after such allowance or appointment. Any act descYibed in this section 16 shall be deemcd <br />a material breach of Tenant's obligation hereundex, and at any time when such a breach exists, <br />Landlord mav, at its option and in addirion to and independent of any other remedy available to <br />LandloYd, terminate this lease and all rights of tenant hereunder by giving to Tenant notice in writing <br />of the election of Landlord so to terminate, and may re-enter and repossess the demised premises <br />with or without prior notice. <br />Holding Over: <br />17. If Tenant shall remain in possession of all or any part of the demised premises after the <br />expiration of the term of this Lease or any renewal thereof, then Tenant shall be deemed a lessee of <br />the demised premises from month to month, subject to all terms and conditions of the within Lease <br />which are not inconsistent with such month to month tenancy, but nothing herein shall excuse any <br />unauthorized holding-over. <br />Maintenance and Repairs: <br />18. Landlord shall keep in good repair or condition the foundation, the roof and four outer <br />walls, (excluding windows and doors in tenant space), and the common areas in the building, and <br />shall use its best reasonable efforts to keep the parking, roadway, and landscaped areas in the <br />demised premises in good repair and condition, but LandloYd shall not be called upon to make any <br />repairs occasioned bv the act or omission of Tenant, its officers, agents or servants, or contractors, <br />except as heYeinafter eYpYessly provided. Tenant shall maintain and keep in good repair and <br />condition its space demised hereby, and the contents, window blinds and decoration thereof, and in <br />addition shall at its own cost and expense, replace any glass, outer or inside windows and doors, and <br />any frames and hardware, plumbing fixtuxes, faucets and supply lines thereof, in Tenant's leased <br />space which may, become broken or damaged. If, after notice from Landlord, Tenant fails or refuses <br />to make any repairs or provide any maintenance required of Tenant hereunder, then Landlord may, <br />but shall not be obligated to, make or cause such repairs to be made or maintenarice to be provided, <br />and Tenant agrees that it will in such event pay the full cost thereof to Landlord upon demand, as <br />additional rental hereunder, with all remedies attendant thereon. Landlord to provide cleaning in <br />Tenant suite five (5) nights per week, Monday through Friday, holidays excluded. Cleaning to <br />include vacuuming as needed and daily garbage removal. Mopping of tile floors will be done at the <br />request of Tenant, however waxing and extensive cleaning of tile flooring is the responsibilitv of <br />Tenant. <br />Damages and Non-Liability: <br />19. Landlord shall not be liable to the Tenant, its officers, agents or employees, for any theft, <br />damage or Non-Liability injury occasioned by failure to keep said premises heated, cooled ar in <br />repair, or for any bodily injury or property damage done or occasioned by or from structural failure <br />oY collapse, plumbing, gas, wateY, steam, or otheY pipes, oY sewage, or the buYSting, leaking, or <br />running of any water oudet, containex or fixture in above, upon oY about said building or premises, <br />nor for injury or damage occasioned by wind, water, snow or ice being upon or coming though the <br />roof, skylight, windows, doors, parking, road and sidewalk areas, or otherwise, nor for anti- injury or <br />damage arising from the omissions of any of the utilities or services supplied or due to be supplied <br />bv Landlord hereunder, or from acts of negligence or willfulness of co-tenants or other occupants of <br />the same building or service areas, or any owners or occupants of adjoining or contiguous property. <br />Notwithstanding any other provision hereof or othenvise, neither paYty hexeto shall be liable to the <br />other, and Tenant hereunder shall have no liability to oY assert liability against any other lessee in the <br />building of which the herein demised premises are a paYt, to the extent, if any, that the person <br />damaged receives payment or reimbursement for or on account of any loss or damage caused or <br />alleged to be caused by Landlord or any lessee in said building, undex any contract of insurance <br />4
