Ifthe Contractor is subject to OMB circular A-133 requirements the Contractor agrees to obtain an independent audit by a certified public accountant which encompasses the grant period and fznds under this agreement within nine months after tlle end of tlus agreement period and to provide tlie Agency with a copy of the said aud.it report witlun ten (10) calendar days after such report is received by the Contractor. If the Contractor is not snbject to OMB circular A-133 requi.rements, but still obtains an annual agency audit which covers any part of this grant period, Contraetor agrees to submit a copy of this audit report to the ageney within 10 calendar days after such report is received by Contractor. The Contractor agrees that sai.d audit will be engaged in accord with ali State and Federal regulations governing audits of the funds paid under this Agreement. The Contractor agrees to respond in writing to the Agency witlvn ten (10) calendar days of a written receipt of any audit findings pertairiing to the Contractor's Title III Service(s) with a plan to resolve said findings. If said respanse is not received by the Agency within the said ten (10) calendar days, the Agency may suspend payments to Contractor until corrective aetion acceptable to the Agency is implerMented. The Contractar agrees to reimburse the Agency any funds paid under this agreement which are t'aiznd in the course of said audit to have been improperly or illegally used. 13.
