employment with the City, concerning any official or employee of the City, or regarding the <br />differences between the City and Bak which led to Bak's retirement. Both parties agree that this <br />is a material condition for each party entering this Agreement. <br />7. Prior to commencing his paid administrative leave, Bak shall leave all City files <br />and equipment, including but not limited to all City keys, in his office, and shall provide all <br />password and other computer security information necessary to access Bak's computer to the <br />Director of Public Safety, or her designee. <br />8. The City agrees that all pending disciplinary charges against Bak are hereby <br />withdrawn upon Bak's execution of this Agreement. <br />9. This Agreement shall become effective upon execution by the City's Mayor and <br />the certification by the Finance Director that sufficient funds exist to meet the obligatians of the <br />City created by this Agreement. The Agreement shall be subsequently ratified by the City's <br />Council, if, in the opinion of the City's Director of Law, if Council authorization or ratification is <br />required under the City's Charter or codified ordinances. <br />10. The City for itself and all of its officials, officers, employees, boards and <br />commissions (whether in said official's, officer's or employee's official or individual capacity), <br />and all other City agents and representatives, does hereby release and forever discharge Bak, and <br />his heirs, administrators and executors of and from any and all actions, suits, claims, liabilities, <br />demands, damages, costs and expenses whatsoever, whether in law or at equity, and including <br />disciplinary actions, whether known or unknown, which arise out of or are related in any way to <br />any matter or event arising out of or relating in any manner to Bak's employment with the City <br />4
