Exhibit A <br />Ordinance No. 2002-37 <br />EXHIBIT A <br />AGREEMENT TO PURCHASE REAL PROPERTY <br />This Agreement, entered into at North Olmsted, Ohio this day of March, 2002 by <br />and between the City of North Olmsted, 5200 Dover Center Road, North Olmsted, Ohio 44070 <br />(hereinafter, the "Purchaser"), and True North Energy LLC, c/o Daniel M. McIntyre, Esq., <br />Thomsan Hine LLP, 3900 Key Center, 127 Pub c Square, Cleveland, Ohio 44114-1291 and <br />Patricia G. Lyden, Esq., Lyden Liebenthal & Chappell, Ltd., Attorneys at Law, 5565 Airport <br />Highway, Suite 101, Toledo, Ohio 43615 (hereinafter the "Seller") <br />WIiEREAS, it is the desire of the Seiler to sell, and the Purchaser to purchase, a certa.in <br />portion of the real property located at 23385 Lorain Road, North Olmsted, Ohio, Permanent <br />Parcel #237-09-004, which shall become part of the right-of-way in connection with the <br />proposed widening of Clague Road; and <br />WHEREAS, the purchase of this property has been authorized by North Olmsted <br />Ordinance Number 2002- ; <br />NOW THEREFORE, on the basis of the foregoing premise, for the consideration <br />hereinafter recited, and on the conditions and terms which follow, the parties agree as follows: <br />ITEM ONE: Purchase and Sale of Real Property <br />Subject to the terms and conditions of this Agreement, the Seller agrees to sell and the <br />Purchaser agrees to purchase all of the Seller's right, title and interest in the above-mentioned <br />part of the xeal property, which is located at 23385 Lorain Road, North Olmsted, Ohio and <br />certain personal property located thereon and described beiow. The real property being sold is a <br />somewhat rectangular strip of property running 125 feet in. Iength along the Clague Road right- <br />1
