of-way and 24.46 feet along the Lorain Road right-of-way, and with a width of 12.94 feet on the <br />south end of the strip and curved to a width of 24.46 feet on the north end, consisting of <br />1,589 square feet, and legally described in attached Exhibit "A," and depicted on the plat marked <br />as Exhibit "B." In addition, Seller agrees that it shall fully cooperate with the City and do all acts <br />necessary in the splitting off of said piece of land from its property at 23385 Lorain Road, <br />including, but not limited to, signing the necessary subdivision plat or plats. <br />ITEM TWO: Grant of Right of Entry Construction Easement <br />As a further term and condition of this Agreement, Seller further agrees to grant <br />Purchaser a temporary Right-of-Entry construction Easement in substantially the form as the <br />attached Easement Agreement marked as Exhibit "C". <br />ITEM THREE: Indemnification and Defense <br />Purchaser hereby covenants and agrees to indemnify and hold Seller free and harmless <br />from and against any claims, damage, loss or liability growing out if, or arising or resulting from <br />any act or omission of Purchaser, its agents or employees. <br />ITEM FOUR: Purchase Price <br />The purchase price for the real property described in ITEM ONE and the easement <br />granted in ITEM TWO shall be THIRTY-FIVE THOUSAND DOLLARS ($35,000.00) and the <br />purchase price for the personal property described below shall be TWENTY-FIVE THOUSAND <br />DOLLARS ($25,000.00). <br />ITEM FIVE: Payment of the Purchase Price <br />The total purchase price described in ITEM FOUR shall be paid as follows: <br />(a) At the time of signing -$60,000.00. <br />2
