The Fee due and payable by Tenant to Landlord is set forth in Exhibit "C" to the <br />Master Collocation Sublease Agreement between the parties dated <br />and entitled "Fee Schedule". The Fee for the Premises will be <br />adjusted annually on the anniversary date of the lease by an amount equal to three <br />percent (3%) of the annual Fee for the previous year. Fee is payable to Landlord <br />at the following address: <br />4. The Commencement Date of this SLA will be upon commencement of <br />construction or installation of equipment at the Premises or ninety (90) days from <br />the date hereof, whichever occurs first. Landlord agrees that if Tenant is <br />diligently pursuing necessary permits or zoning approvals and is awaiting or <br />appealing any zoning decisions past the Commencement Date, Landlord will <br />grant a ninety (90) day extension of said Commencement Date. For purposes of <br />this SLA, any physical activity on the Site by Tenant, other than those preliminary <br />activities set forth in Section 5 of the Agreement, will constitute the <br />commencement of the construction. <br />5. The parties acknowledge that Landlord's rights in the property derive from a <br />certain agreement dated between AT&T Wireless <br />Services, Inc. and the City of North Olmsted, hereinafter referred to as the <br />"Ground Lease" and attached hereto as Attachment "4" to this SLA. <br />6. The consent of the Ground Lease landowner to this SLA is not required per <br />Paragraph 17of the Ground Lease until both La.ndlord and Tenant have executed <br />the SLA. The Ground Lease is attached hereto as Attachment "4" to this SLA. <br />7.
