WHEREAS, North Olmsted City Council, pursuant to Ordinance 2002- authorized the Mayor, after receipt of the bids, to enter into a contract with the lowest and best bidder; NOW THEREFORE, the CITY and the CONTR.ACTOR each acknowledge the sufficiency of the consideration, which flows to it pursuant to the Agreement, agree as follows: SECTION 1. BASIC WORK OF TBE CONTRACTOR 1.1 The Work to be performed under this Agreement sha11 encompass the site demolition for the PROJECT, 1.2 The scope and details of the Work are more fully described in Exhibit I and Exhibit IV, Scope of Work, attached hereto and made a part hereof. SECTION 2. ADDITIONAL WORK OF T'HE CONTRACTOR 2.1 No additional Work is expected to be required in carrying out the site demolition for the PROJECT. However, should any additional Work by the CONTRACTOR become necessary, any additional Work would be separate from the Section 1- Basic Work of the Contractor, would be included into the basic Work of the Contractor by a change order to this Agreement and that can be undertaken only upon written authorization by the CITY. SECTION 3. CONTRACT DOCUMENTS 3.1 The Contract Documents are defined in the General Conditions. The Contract Documents, which comprise the entire agreement between CITY and CONTRACTOR, are attached to this Agreement and are ma.de a part hereof. SECTION 4. CITY'S RESPONSIBII,ITTES 4.1 The CITY sha11 do the following in a timely manner: 4.1.1 Designate a CITY representative having the authority to give instructions, receive information, inspect, define the CITY' S policies and make decisions with respect to the PROJECT. 2
