AGREEMENT FOR LABOR NEGOTIATOR SERVICES THIS AGREEMENT is made and entered into between the CITY OF NORTH OLMSTED ["City"], a municipal corporation of the State of Ohio, acting by and through its Mayor, and the Law Firm of Johnson, Miller & Schmitz LLP ["Labor Negotiator"], whose address is 1700 North Point Tower, 1001 Lakeside Avenue, Cleveland, Ohio 44114. WHEREAS, the City has a need for a labor negotiatar for the next cycle of collective bargaining for City collective bargaining agreements having terms t:hat end in either thf; year 2008 or 2009; and WHEREAS, City's Council, pursuant to Ordinance 2008-120, has authorized the Mayor to enter into a new contract with Labor Negotiator providing for the latter to serve as the City's labor negotiator in connection with the renewal or modification of the City's collective bargaining agreements which have terms ending in either the year 2008 or 2009; NOW, THEREFORE, in consideration of the promises set forth, the City and Labor Negotiator agree as follows: l. Scope of Services. Labor Negotiator shall serve as the Mayor's designated Labor Negotiator in negotiating renewals or modifications of the City's collective bargaining agreements that have terms ending in 2008 or 2009. The labor negotiatar assigned to provide the services called for in this Agreement shall be Gary Jol-mson, unless otherwise requested and authorized by City. The Mayor shall be the representative of the City to accept or give any request, approval, notice or the like under this Agreement. 2. Tenn of Agreement. The terni of this Agreement shall from tlie date of execution of this Agreement until to the date upon which the Mayor executes the last new collective bargaining agreement for the City collective bargaining agreements with terms ending in either 2008 ar 2009. 3. Confidentiality of Infonnation. Labor Negotiator shall retain zn strictest confidence all infonnation fui7lished by the City and the results of any reports or studies conducted as a result of this Agreement, along with all supporting work papers and any other substantiating docuinents. Labor Negotiator shall not disclose such information to others without the prior written consent of the Mayor. 4. Compensation. The City shall coinpensate Labor Negotiator for services perfoi7ned under this Agreement as described in Exhibit A attached and incorporated by this reference. The compensation for Labor Negotiator provided by this Agreement is entire and complete. Labor Negotiator is not to receive and will not receive any other compensation in connection with this Agreement.
