Exhibit A <br />SUBLEASE <br />THIS SUBLEASE is made and entered into this day of , <br />200_ by and between Cleveland Communications, Inc., an Ohio corporation ("Sublessor"), and <br />the City of North Olmsted ("Sublessee"). <br />WHEREAS, Sublessor has entered into a lease (the "Lease") effective as of the <br />21 S` day of October, 1997, with The Westbury Tower Corp. (the "Owner") to manage and lease <br />roof rights of the building located at 25151 Brookpark Rd. North Olmsted, OH 44070 (the <br />"Building"); and <br />WHEREAS, Sublessor owns a certain tower (the "Tower") located on the roof of <br />the Building; and <br />WHEREAS, Sublessee has certain equipment located on the Tower and within <br />those areas of the building leased to Sublessor under the Lease, as more particularly described <br />herein; and <br />WHEREAS, Sublessee desires to lease from Sublessor, and Sublessor desires to <br />lease to Sublessee, on the terms and conditions contained herein, the Subleased Premises. <br />NOW, THEREFORE, for good and valuable consideration, the receipt of which is <br />hereby acknowledged, the parties hereto agree as follows: <br />1. RECITALS. The above recitals are hereby incorporated into this First <br />Amendment as if fully set forth herein. <br />2. THE LEASE. This Sublease shall be subject to all the terms and <br />conditions contained within the Lease, except as otherwise provided herein; <br />3. LEASED PREMISES. Sublessor hereby leases unto Sublessee, and <br />Sublessee hereby leases from Sublessor, a space for locating Sublessee's antenna on the building <br />managed by Sublessor and a space for Sublessee's transmitter cabinet, as more particularly <br />described in Exhibit A attached hereto and made a part hereof (the "Leased Premises"). The <br />Sublessee shall have use of the Leased Premises for the deployment of its police, fire and service <br />radio communication antennae and related equipment, and as public necessity may require the <br />addition or expansion of such facilities within the Leased Premises in accordance with the terms <br />herein, including but not limited to the Sublessor's reasonable approval and noninterference and <br />insurance requirements, pursuant to Paragraphs 5, 15, and 16, and upon additional Rent of $150 <br />per month per unit. <br />TERM. The term of this Sublease shall commence February l, 2008 (the <br />"Commencement Date") and end August 31, 2008 (the "Term"). This Sublease is at all times <br />subordinate and subject to the Lease and Sublessee agrees, except as otherwise provided herein, <br />to abide by all the covenants, conditions and provisions in the Lease as to which Sublessor is <br />obligated to Owner as the same pertain to the Sublessee.
