?._ <br />Iength of time, and under such terms and conditions, as are set out in a Lease Agreement, to be <br />substantially in the form attached as Exhibit A hereto (the Lease Agreement). The City and the <br />Trustees shall complete, sign and deliver the Lease Agreement promptly upon the issuance of a <br />certificate of occupancy for the New Building. <br />ITEM IV: Design and Constrvction <br />The Ciry and the Trustees shail cooperate and consult with one anothe: as to the <br />acquisition, preparation, landscaping and improvement of the Site and the construction, <br />furnishing, equipping and improvement of the New Buildin„ including desi,n thereof. The City <br />shall select, with the approval aaad cooperauon of the Trustees, (i) an architect to provide <br />professional design services for the New Faciiity and (ii) a construction manager to provide <br />construction management services for the New Facility. The Trustees shall be a party, for such <br />purposes as the City and the Trustees reasonably agree, to any and al2 contracts with the architect <br />and the construction maaager relating to the acquisition, preparation, landscaping and <br />improvement of the Site and the construction, furnishin„ equippin; and improvement of the <br />New Building, and any such agreements shall be made a part of this Agreement by incorporation <br />herein. <br />AlI costs incurred in the design and construction of the New Facility, including, <br />without Iimitin; the generality of the foregoing, in drafting designs, plans, specificatians and <br />other paper drawings or renderings, and in construction management and supervision, if any, <br />shall be paid by the City from net proceeds of Obligatians or net investment eamin,s thereon. <br />Promptly following its retention of the architect and the construction manager, the <br />City sha11 cause the architect and the construction manager to prepare, in consultation with the <br />City and the Trustees, a schedule of activities required to carry out the acquisition, preparation, <br />-5 <br />
