<br />SOFTWARE SERVICE AGREEMENT TERMS & CONDITIONS <br />ARTICLE 1 - WORK DESCRIPTION <br />TAC Technicians shall provide the following support services. <br />a. Remedial correct any covered software eixor condition or malfiznctions. Assist operators witll <br />routine questions concerning software usage, <br />b. Provide updates to ciuTent version of software as they are released. <br />ARTICLE 2 - INCLUDED SERVICES <br />TAC will furnish software support via telephone, modem and when necessary in person. Customer provided <br />Modem with PC Anywhere is mandatory for software support. <br />ARTICLE 3 - SERVICE HOURS <br />Tlie i nclucted p rincipal p eriod s ervice covers work performed between the hours of 8:00 AM. And 5:00 <br />PM., Monday tlu•ough Friday, excluding all nationally observed holidays, All service provided outside the <br />principal period will be billed at the current rate of $95.00 per hour, including travel time. AlI calls for <br />service originating outside the principal period will be subiect to a two-Ilotir minimum includinp_ travel time, <br />resardless of the corrective actions taken by TAC Computer Inc. <br />AKTICLE 4 - LIABILITY <br />TAC s hall u se i ts b est e ffort t o p erforni s ervice w ithin a r easonable t ime a fter r equest by the custoiiier, <br />(normally 4 working hours), but shall not be deeined to be in default for any delay or failure in performance <br />or for any niterruptioiis to operation of the equipment and to any related equipment. TAC does not accept or <br />assume a ny r esponsibility f or t he 1 oss o f d ata t Izat m ay o ccur d uring a ny r epair p rocec3ure. (It i s always <br />recommended that all data be backed up). In i1o event shall TAC be liable for airy direct or indirect <br />damages, regardless of the nature of the clainl of acYion or incidentals to the performance or <br />nonperfomiance of the service. <br />A,RTICLE 5 - TERM <br />This agreement shall be uz full force and effect on the effective date on the front side of this agreement arld <br />shall remain in effect for the initial teim of 12 n7onths_ and Ylaereafter will remain in effect until <br />ternunated by either party hereto with tllut}r (30) days written notice to the other party. <br />ARTICLE 6 - RATE5 <br />TAC shall notify the customer of any changes in rate with 30 days vvritten notice. The rates are guaranteed <br />not to change for the initial term of this agreement.
