.?_ <br />shall, as and to the eartent directed, stop work under this contract, cease all placement of <br />further orders or subcontracts, terminate or suspend work under existing orders and <br />subcontracts, cancel any outstanding orders or subcontracts that may be cancelled, and <br />take any action necessary to protect any property in its possession in which CITY has or <br />may acquire any interest and to dispose of such property in such manner as may be <br />directed by CITY. <br />13.2 In the event that this Agreement is terminated by the CITY, the <br />CONTRACTOR shall be compensated for all services performed to the date of <br />termination. Such compensation shall be based on the arrangement set forth in Exhibit :[II, <br />whenever possible. For those portions of services rendered to which this arrangement <br />cannot be applied, payrnents shall be based upon reasonable per diem rate for the actual <br />time spent on the work equal to the average rate for similar contractor services in <br />Cuyahoga County, Ohio. <br />SECTION 14. INSURANCE The CONTRACTOR shall comply with all workers' <br />compensation laws of the State of Ohio and shall carry at least the following minimum <br />private insurance coverage: <br />14.1 General Liability and Comprehensive Automobile Liability Insurance in an <br />amount not less than Two Million Dollars ($2,000,000.00 aggregate) for injuries, <br />including those resulting in death, to any personal, and property damage. Said insurance <br />shall be maintained in full force and effect during the life of this Agreement and shall <br />protect the CONTRACTOR, its employees, agents, and representatives from claim.5 for <br />damages for personal injury and wrongful death and for damages to property arising in any <br />manner from the negligent or wrongful acts, errors or omissions of the CONTRACT'OR, <br />its employees, agents or representatives in the performance of the services under this <br />Agreement. <br />9 <br />
