. ? ? ...; "Agreement" means the Loan Agreement between the Issuer and the Company, dated as of September _, 1983, as from time to time amended, or supplemented. "Assignment" means the Assignment, dated as of even date with the Agreement and relating to the Agreement, pursuant to which the Issuer assigns all of its right, title and interest under the Agreement (except its rights pursuant to Sections 4.5, 5.2 and 6.3 thereof) and under the Note to the Bondholders. "Assignment of Rents and Leases" means the instrument, dated as of even date with the Agreement, pursuant to which the Company conditionally assigns all of its right, title and interest in and to the Lease to the Bandholders. "Authorized Company Representative" means either (a) any general partner of the Company, or (b) such person at the time designated, by written certificate f urnished to the Issuer and the Bondholders containing the specimen signature of such person and signed on behalf of the Company by any general partner of the Company, to act on behalf of the Company. Such certificate may designate an alternate or alternates. "Bonds" means the Project Bonds issuec3 pursuant to this Bond Legislation. "Bondholder" or "Bondholders" means one or more of Commonwealth Life Insurance Company, Peoples Life Insurance. Company, Washington, D.C., and/or National Standard Life Insurance Canpany, all of which are subsidiary corporations of Capital. "Bond Legislation" means this Ordinance as the same may from time to time be lawf ully amended or supplemented. "Bond Purchase Agreement" means the agreement dated as of September_, 1983 among the Bondholders, the Company and the Issuer. "Bond Service Charges" for any time period means the principal of, interest on, and premium, if any, required to be paid by the Issuer on the Project Bonds for such time period. "Buy-Sell Agreement" means the agreement dated as of January 27, 1983, among First National Supermarkets, Inc., the Campany and Capital. 2
