City of North Olmsted Resolution No. 93-162 page 2 (a) All real estate, more particularly described on Exhibit A attached hereto, together with any and a11 easements and other rights appurtenant thereto, if any (the "Premises"); (b) All buildings, structures and other improvements located on the Premises, including, without limitation, the buildings, structures and improvements specifically described on Exhibit B attached hereto: (c) All fixtures, equipment, [motor vehicles,] furnishings and other personal property used or useful in connection with the Club or the facilities or operations thereof, including, without limitation, the personal property specifically described on Exhibit C attached hereto; (d) All inventory of items used in the operation of the Club, including, without limitation, those items specifically described on Exhibit D attached hereto: (e) The right to use, or assign for use, the name "Springvale" in connection with any one or more of the operations that may be conducted by the City, or by any person, partnership, corporation or association acting pursuant to authority granted by the City, on the Premises; (f) The right as against the Seller to be substituted, or to have a designee of the City substituted, as the permittee under all of the Seller's State of Ohio permits to sell beer and liquor, including, but without limitation, the Seller's [D-5] permit; (g) All contracts and leases entered into by the Seller with respect to the Property, the assignment of which has been requested by the City, except that no obligations or duties assumed by the Seller under any such contract or lease shall be assumed by the City unless the City shall expressly agree thereto, which contracts and leases are specifically described on Exhibit E attached hereto; and (h) All other property, real and personal, tangible and intangible, except as expressly excluded herein.
