Consulting Agreement <br />This Agreement is made and entered into this 1st day of August, 2011, by and between <br />ANDREW J. FUTEY, LLC, (d.b.a. Andrew J. Futey & Associates), an Ohio limited liability <br />company, located at 5566 Pearl Road, Cleveland, Ohio 44129 (hereinafter referred to as "AJF") <br />and THE CITY OF NORTH OLMSTED, an Ohio municipality, located at 5200 Dover Center <br />Road, N. Olmsted, Ohio 44070 (hereinafter referred to as "Client"). <br />RECITALS: <br />WHEREAS, Client wishes to retain AJF to perform certain consulting services <br />(hereinafter more fully described) in the State of Ohio and is willing to make payments for such <br />services; and <br />WHEREAS, AJF is willing to provide such services for Client in accordance with the <br />terms and conditions set forth herein. <br />NOW THEREFORE, in consideration of the mutual promises and covenants contained in <br />this Agreement, and other good and valuable consideration, the receipt and sufficiency of which <br />are hereby acknowledged, AJF and Client each intending to be legally bound hereby, agree as <br />follows: <br />1. Scope of Consulting Services. <br />AJF shall be available, from time-to-time, to assist Client in its attempts to 1) obtain <br />federal funds, 2) promote affordability legislation as to new standards and regulations, and 3) <br />apprise members of the US Congress as to continued burdens caused by unfunded federal <br />regulatory mandates from the FY 2012 Federal Energy and Water Appropriation Bill and/or <br />Federal VA/Housing and Urban Development Appropriation Bill and/or Federal Transportation <br />Appropriation Bill (the "Federal Funds") for the construction and/or renovation of the City of <br />North Olmsted Waste Water Treatment Plant and other City Sewer and Water lines and City of <br />North Olmsted roads, streets, bridges, and streetscapes (the "Federal Project"). AJF shall also <br />assist Client in its attempts to obtain funds from the FY 2012 State Capital Bill (the "State <br />Funds") for the construction and renovation of the City of North Olmsted Waste Water <br />Treatment Plant and other community priority projects (the "State Project) (collectively, the <br />"Services"). AJF shall devote such time and effort to the performance of the Services as is <br />necessary for the Services required pursuant to this Agreement. Specifically, AJF shall: <br />a. Advise Client in writing within forty-five (45) days of the effective date of this <br />Agreement on a strategy to secure and receive the Federal Funds for the Federal <br />Project and the State Funds for the State Project; and thereafter consul and advise <br />Client's project coordinators on the development and progress of such strategy. <br />b. Recommend to Client individual activities for the Mayor of North Olmsted and <br />the executive staff to enhance Client's ability to secure and receive the Federal <br />Funds and the State Funds for the respective projects, including guidance as to <br />{M:\CLIENTS\28179\0001 H0351120:2} <br />
