their communications and dealings. <br />c. Arrange and attend meetings for Client as required but not less than twice during <br />the period this Agreement is in effect with Ohio members of the US Senate and <br />US House of Representatives and their executive staff ("Ohio's Congressional <br />Delegation); and Ohio Governor's Office and members of the Ohio Senate and <br />Ohio House of Representatives and their executive staff ("Ohio's State <br />Delegation") for the purpose of achieving the goals specified in the scope of <br />consulting services. <br />d. Provide written recommendations to Client regarding strategies and activities in <br />which Client should participate to enhance Client's overall image with the <br />members of Ohio's Congressional Delegation and Ohio's State Delegation. <br />e. If requested, to serve as the lead for all meetings and communications with <br />members of Ohio's Congressional Delegation and EPA, DOT or HUD officials <br />and with members of Ohio's State Delegation, Governor's Office, Ohio <br />Department of Transportation, and Ohio EPA and meet individually with such <br />personnel to promote and advance the Federal Project and/or the State Project, as <br />appropriate. <br />f. Provide not less than four (4) meetings at Client's office to apprise Client on the <br />status of actions taken in furtherance of AJF's obligations required by this <br />Agreement. <br />2. Term of Agreement. <br />The Term of this Agreement shall be for a period of twelve (12) months beginning on <br />September 1, 2011, through August 31, 2012. The Agreement may be terminated in writing by <br />either party during the Term of Agreement without prior notice, with or without cause. <br />3. Comuensation. <br />In consideration for the Services provided during the Term of this Agreement, Client will <br />pay AJF a monthly consulting fee of One Thousand Five Hundred Dollars ($1,500) payable upon <br />receipt of the invoice received as identified herein. The first payment shall be due and payable in <br />October, 2011 for services received in September. If the Agreement is terminated pursuant to <br />Paragraph Two 2 herein, the compensation due to AJF and paid in the month following provision <br />of service, shall be pro-rated on a per diem basis for the month through the date that written <br />notice of termination is tendered. <br />Not later than the fifth day of each month, AJF shall invoice the Client for services <br />provided in the preceding month. With each invoice, AJF shall provide a written narrative <br />describing acts undertaken by AJF in furtherance of the Scope of Consulting Services identified <br />herein. Invoice shall include, but not be limited to, a brief description of acts taken and contacts <br />/ meetings had as a representative on behalf of the Client, the date acts are taken and a notation <br />{M:\CLIENTS\28179\0001 H0351120:2} <br />
