a EXHfBIT <br />W <br />J <br />a o2o J~ ~ <br />J <br />J <br />Q <br />LEASE AGREEMENT <br />This Lease is made and executed in duplicate at North Olmsted, Ohio, by and between the <br />City of North Olmsted, an Ohio municipal corporation (hereinafter, "Lessor"), whose main office is <br />located at 5200 Dover Center Road, City of North Olmsted, Ohio 44070, and Morris Pontiac - <br />GMC, Inc., dba Morris Cadillac -Buick - GMC, Inc. (hereinafter, "Lessee"), whose main office is <br />located at 26100 Lorain Road, North Olmsted, Ohio 44070, as follows: <br />Lessor desires to let space in the parking lot of the North Olmsted Recreation Center, 26000 <br />Lorain Road, North Olmsted, Ohio, 44070 to Lessee for use as temporary storage of new and used <br />vehicle inventory. Lessee desires to obtain a lease of space in the said parking lot, and to temporarily <br />occupy such space for storage of new and used vehicle inventory. The parties therefore agree as <br />follows: <br />Section I <br />Description of Lease Space <br />The premises to be leased are designated on the map attached hereto as Exhibit A and made a <br />part hereof ("leased space"). Although not a part of the leased space, Lessee is also granted non- <br />exclusive use of the North Olmsted Recreation Center private drive as a means of ingress and egress <br />to the leased space. <br />Section II <br />Use <br />The leased space described in this lease is to be used exclusively as a place to store new and <br />used vehicle inventory. Lessee agrees to restrict the use of the leased space to said purpose. <br />Lessor agrees that it shall not store construction vehicles or related construction equipment on <br />said leased space. Lessor further agrees that it shall not store salvaged or junked vehicles in the <br />leased space. Lessor further agrees that it shall not store in the leased space vehicles awaiting repairs <br />at its service garage or vehicles awaiting repairs at its collision repair center. <br />Lessee acknowledges that it is using an area within a functioning parking lot. As a result, <br />Lessor cannot guarantee the exclusive use of such space. Lessee is solely responsible for arranging <br />vehicles in such a fashion so as to define the boundaries of the leased space. The leased space may <br />not be defined with barricades or other features unless agreed to by Lessor. <br />Lessee agrees that from time to time, Lessor may require the use of such space for parking <br />
