WHEREAS, CITY, by and through its City Council, pursuant to the request of Civil Service Commission, has approved a renewal Agreement with CONTRACTOR; and NOW THEREFORE, the CITY and CONTRACTOR, each acknowledging the sufficiency of the consideration contained in the terms and conditions of the Agreement, agree as follows: EXAMINATION PROPOSAL - NORTH OLMSTED CONTRACTOR proposes to prepare entry level and/or promotional examinations for the various classified civil service positions, as the CITY may direct, which will assess knowledge, skills, and abilities as exemplified in the CITY's job description. The CONTRACTOR shall prepare such written and/or oral examination, including preparation for Assessment Center style interview, by conducting such research and interview of CITY personnel to reasonably and professionally prepare said exercises, as deemed necessary and appropriate by CONTRACTOR and to the CITY's satisfaction. CONTRACTOR is and shall remain an independent contractor, not an employee or agency of the CITY. The CONTRACTOR shall report to and follow the direction of the Civil Service Commission. EXAMINATION SCHEDULING AND ADMINISTRATION Full security and confidentiality of the examination will be maintained throughout the administration of the examination, specifically the proprietary nature of all CONTRACTOR' S testing materials. To further maintain item integrity, CONTRACTOR will retain exclusive right to the development of Assessment Center techniques, test questions, examination booklets, answer keys, questions and copies
