Resolution No. 2006 - 198 <br />WHEREAS, it is the desire of this Council to authorize and consent to the <br />termination of the City's lease with F.I.R.S.T.; to further authorize the Director of Law to <br />negotiate a new lease with the STC for the lease of the City's real property on Butternut <br />Ridge Road as a call and dispatch center; and to further authorize the Mayar to execute <br />all documents necessary to effectuate both the lease termination and the new lease; <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY <br />OF NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: <br />SECTION 1: That this Council authorizes the Mayor to consent to and execute a <br />an agreement terminating the City's lease with the First Integrated Regional Senior <br />Transportation (F.I.R.S.T.) Consortium for the City real property located at 26272 <br />Butternut Ridge Road. The agreement shall be in a form that is approved by the Directox <br />of Law. <br />SECTION 2: That this Council further authorizes the Director of Law to <br />negotiate a new lease for the City real property located at 26272 Butternut Ridge Road <br />with the Senior Transportation Connection of Cuyahoga County ("STC") for the purpose <br />of continuing to operate a call and dispatch center at said location for transporting elderly <br />and disabled persons, and authorizes the Mayor to execute the lease negotiated by the <br />Director of Law, and any other documents relating to this transaction. The lease shall be <br />similar in form to the existing lease between the City and F.I.R.S.T., but shall provide for <br />rent in the amount of $750.00 month, a lease term until December 31, 2007 with options <br />for renewal, and such other terms and conditions that are not substantially adverse to the <br />interests of the City of North Olmsted. The character of any such other terms and <br />conditions as not being substantially adverse to the interests of the City of North Olmsted <br />shall be evidenced conclusively by the execution of the Lease Agreement by the Mayor <br />and its approval by the Director of Law. <br />SECTION 3: That this Resolution is hereby declared to be an emergency <br />measure immediately necessary for the preservation of the public health, safety and <br />welfare, and further for the reason that it is necessary that this Resolution go into effect <br />immediately so that there is no interruption in service from the call and dispatch center <br />for the transportation of elderly and disabled persons in the City of North Olmsted, and <br />further provided it receives the affirmative vote of two-thirds of all members of Council, <br />it shall take effect and be in force immediately upon its passage and approval by the <br />Mayor. <br />2
