AIM- .-W ? ? 4.03 Vendor shall pay, and indemnify and save the Owner harmless from any and all damages, loss or liability of any kind whatsoever occasioned upon the premises, or premise adjacent thereto, by reason of any injury to person or property occasioned by any act or omission, neglect or wrong of the Vendor or any of its officers, representatives, guests, employees, invites, or other persons acting on the behalf of the Vendor, and shall at its own costs and expense defend and protect Owner against any and all such claims or demands. Insurance Coverage 4.04 Public liability and property damage and vehicular insurance, as stipulated in the request for proposals attached hereto as Exhibit l, shall be furnished in the amounts and coverage as stipulated naming the Owner as an insured thereunder. Also, the Vendor is expected to maintain such insurance as will protect him from claims under Workmen's Compensation acts and other employee benefit acts from claims for damages because of bodily injury, included death to him, employees and all others. The vendor shall provide as listed herein: Contractor's Protective Liability - Bodily Injury $300,000/$500,000, Property Damage -$100,000/$300,000, and Automobile Liability (Owned, Non-Owned and Hired Automobiles) - Bodily Injury $300,000/$500,000, Property Damage -$100,000. Coverage shall be for each occurrence which may arise out of or result from the Vendor's operations under the contract, whether such operations be by himself or by any sub-contractor or anyone directly or indirectly, employed by either of them while on the premises of the Owner, during the delivery or performance of the contract. All policies and certificates must contain an endorsement that the policy cannot be canceled or amended until ten (10) days after the Owner receives written notice by registered mail. Performance Bond 4.05 The shall furnish to the Owner, a performance bond, payable to the City of North Olmsted, in a sum equal to One Thousand Dollars ($1,000.00) with good and sufficient sureties or with a surety company authorized to do business in the State of Ohio, conditioned on the faithful performance of his contract in accordance with the provisions thereof. Such bonds shall also indemnify the City against damages that may be suffered by the failure to perform his contract according to the provisions thereof and in accordance with the contract specifications set forth in this contract. ARTICLE 5. CONTRACT PERIOD Effective Dates 5.01 This agreement shall be effective on the date of execution by the parties and shall remain in effect, unless earlier terminated for cause or by agreement of the parties, for a period of two (2) years commencing upon the date of execution.
