<br />? <br />WHEREAS, the City Board of Control met on the _ day of , 2006, and selected <br />CONTRACTOR as the person or firm most qualified to perform the personal services required at <br />a price that is fair and reasonable to the CITY; <br />NOW THEREFORE, the CITY and CONTRACTOR, each acknowledging the <br />sufficiency of the consideration contained in the terms and conditions of the Agreement, agree as <br />follows: <br />SECTION 1. BASIC SERVICES. <br />1.1 The SERVICES required to be performed by CONTRACTOR under this <br />Agreement shall be the basic services for the PROJECT. <br />1.2 The scope and details of such basic services are described in Exhibit I and Exhibit <br />IV, Scope of Services, attached hereto and made a part hereof. <br />SECTION 2. ADDITIONAL SERVICES. <br />2.1 No additional services are expected to be required by CONTRACTOR for the <br />PROJECT. However, should the providing of any additional services become necessary, any such <br />additional required services will be separate from the Section 1- Basic Services, and will be <br />considered an Optional Service that may be undertaken only upon written authorization by the <br />CITY. <br />SECTION 3. CITY'S RESPONSIBILITIES. <br />3.1 The CITY shall do the following in a timely manner: <br />3.1.1 Designate a CITY representative having the authority to give to <br />CONTRACTOR instructions, receive informadon, define the CITY' S policies <br />and make decisions with respect to the PROJECT. <br />3.1.2 Provide all criteria and information needed by CONTRACTOR regarding the <br />CITY'S requirements for the PROJECT, including design objectives and <br />constraints, space and capacity requirements and budgetary limitations. <br />3.1.3 Furnish to CONTRACTOR, as needed, copies of all design and construction <br />standards, which the CITY requires for the PROJECT. <br />2
