?._,.M..,.? ., . . ? 3.1.4 Perform all the tasks and subtasks identified as obligations of the CITY in the RFP, referred to in Exhibit I attached to this Agreement. 3.1.5 Give prompt written notice to CONTRACTOR whenever the CITY observes or otherwise becomes aware of any event that affects CONTRACTOR's performance of its duties and obligations under Section 1 Basic Services. SECTION 4. TIME SCHEDULE 4.1 Unless otherwise directed by the CITY, the CONTRACTOR shall commence the performance of the Section 1. Basic Services upon execution of this Agreement by both parties that shall constitute Authorization to Proceed. Time is of the essence in this Agreement for the Section 1 Basic Services. 4.2 The CONTRACTOR recognizes that the SERVICES under this Agreement are to be performed as expeditiously as practicable. The CONTRACTOR shall ma.ke every reasonable effort to substantially complete the Section 1. Basic Services within the time set forth in Exhibit III, Time Schedule, attached hereto and made a part hereof. SECTION 5. AMOUNT AND METHOD OF PAYMENT 5.1 For services provided under Section 1. Basic Services, payment shall be made in accordance with Exhibit II, Method of Payment. 5.2 All invoices shall be in the format requested by the CITY as referenced in Exhibit II, Method of Payment. 5.3 The CONTRACTOR covenants and agrees to pay all persons and corporations, including employees, subcontractors, materialmen, agents, and all other working in active concert with such persons or corporations, who furnish materials or render services in connection with the performance of this Agreement. SECTION 6. CHANGES 6.1 The CITY may, at any time, by written order, make changes within the general scope of this Agreement in the SERVICES to be performed. 6.2 If such changes cause an increase or decrease in the CONTRACTOR's cost of, or time required for, performance of services required under this Agreement, an equita.ble adjustment 3
