07-Dec-1994 D R A F T T H R E E <br />unless said punitive damages are a result only. of the policies and/or procedure <br />required to be implemented by the City according to this Agreement and not by <br />unilateral action of the City or its personnel. <br />21.4 No provision herein shall be construed to require the Authority to <br />indemnify the City for back wages associated with findings of discrimination <br />against the City. <br />22. RISK MANAGEMENT PROGRAM <br />22.1 The Authority agrees to provide comprehensive claims management for those <br />claims that the Authority agrees to assume under the terms of this Agreement. <br />22.2 The Authority agrees to assume responsibility for the defense and payment <br />of personal injury and property damage claims for which a claim has been filed <br />and for which the City may become liable arising from the contracted service, <br />or any non-regular service that has been approved by the General Manager or <br />his designee in writing, operated by the City in accordance with the terms of <br />this Agreement. <br />22.3 The City and its employees agree to assist the Authority in the <br />administration, investigation, adjusting and reporting of all public liability <br />claims arising out of the City's operation of .contracted services, including <br />physical loss to vehicles.. <br />22.4 The City shall cooperate in assisting the Authority to defend all claims <br />and litigation arising out of the performance of contracted services for which <br />the Authority may become liable. <br />22.5 The City agrees to perform any and all acts necessary to discharge the <br />duties, obligations and procedures instituted by the Authority now~in existence. <br />or hereafter modified in regard to the administration, investigation, <br />-27- <br />
