BROKERAGE FEES OR REAL ESTATE COMMISSIONS <br />Buyer represents and warrants to Seller, and Seller <br />represents and warrants to Buyer that no broker or finder has <br />been engaged by them, respectively, in connection with any of <br />the transactions contemplated by this Agreement or to their <br />knowledge is in any way connected with any of such transactions. <br />In the event of a claim for a broker's or finder's fee or <br />commission in connection with the negotiation, execution or <br />consummation of this Agreement, Seller shall indemnify, save <br />harmless and defend Buyer from and against such claim and any <br />expense related thereto if it shall be based upon any statement <br />or representation or agreement alleged to have been made by <br />Seller, and Buyer shall indemnify, save harmless and defend <br />Seller from and against such claim and expense related thereto <br />if it shall be based upon any statement or representation or <br />agreement alleged to have been made by Buyer. <br />10. DAMAGE OR DESTRUCTION OF PROPERTY <br />In the event the property is damaged or destroyed <br />by fire or other casualty prior to transfer of title to the <br />Buyer, Buyer shall have the option to: (a) receive all insurance <br />proceeds payable in connection with said loss provided Buyer <br />completes this Agreement, or (b) declare this Agreement null and <br />void, in which event, all funds and documents heretofore <br />deposited or delivered pursuant to this Agreement shall be <br />-5- <br />
