WHEREAS, in pursuant to Section 111.01 of the North Olmsted Codified <br />Ordinances, in anticipation of the expiration of the third term in January, 2010, another <br />request for proposals was prepared and advertised in accordance with law for vending and <br />video game machine products and SERVICES for the North Olmsted Recreation Center <br />under the direction of the Community Life Services Department of the City of North <br />Olmsted; and <br />WHEREAS, the CITY Council, at the request of the Administration and based <br />upon the recommendation of the Board of Control dated December 15, 2009, pursuant to <br />Ordinance No. 2010-_, has authorized a fourth two-year contract with CONTRACTOR <br />to provide the SERVICES as set forth herein for the period January 24, 2010 through <br />January 25, 2012 (fourth term); <br />NOW THEREFORE, the CITY and CONTRACTOR, each acknowledging the <br />sufficiency of the consideration contained in the terms and conditions of the Agreement, <br />agree as follows: <br />SECTION 1. BASIC SERVICES. <br />1.1 The SERVICES required to be performed by CONTRACTOR under this <br />Agreement shall be the basic services as stated in bid specifications for bid proposal <br />originally submitted on December 1, 2003, and as subsequently updated and proposed on <br />November 23, 2009, with such additional products and/or services as are specifically <br />identified in Exhibit A, attached hereto and made a part here. <br />SECTION 2. ADDITIONAL SERVICES. <br />2.1 No additional services are expected to be required by CONTRACTOR. <br />However, should the providing of any additional services become necessary, any such <br />additional required services will be separate from the Section 1 -Basic Services, and will be <br />considered an Optional Service that may be undertaken only upon written authorization by <br />the CITY. <br />SECTION 3.
