f,,,., <br />`~~. <br /> <br />and the right to use its streets, roads, highways, and bridges owned and under <br />~• <br />its control for the operation of said bus line and agrees that the rate of fare to be <br />charged for said transportation services from and after <br />April 1, 1974 shall be <br />as shown on " Schedule B "which is attached hereto and made a .part hereof. <br />It is mutually agreed between the parties hereto that the proposed schedule <br />for said transportation as provided for herein, effective April 1, 1974 ,has been <br />approved by the Council of the City of North Olmsted and the Council of the City of <br />Fairview Park, and any change in said schedule shall be agreed upon and approved <br />by a majority of the members of the Council of both cities, unless as a result of <br />arbitration as hereinafter provided. <br />The City of North Olmsted assumes full responsibility for the operation of <br />its buses and shall at all times hereunder defend and indemnify the City of Fairview <br />Park and its officials from any and all losses, damages, suits, claims and demands <br />for injury to persons or property to which the City of North Olmsted and/or the City <br />of Fairview Park may be subject to any proceedings at law or otherwise growing out <br />of the wrongful enjoyment of the same by the City of North Olmsted. The City of <br />North Olmsted shall at its own cost defend against such actions in its own name <br />or in the name of the City of Fairview Park. <br />It is further agreed between the parties hereto that if the actual cost of <br />operation, which shall include wages of drivers and other employees properly <br />chargable to said route, fuel and lubricants, tires and tubes, maintenance of <br />equipment used on such routes, depreciation on such equipment, public liability <br />and property damage insurance, together with such part of the general overhead <br />of the City of North Olmsted as is properly applicable thereto, under methods of <br />accounting in the bus- transportation business accepted by recognized certified <br />public accounts, shall increase or decrease materially during the life of this <br />contract, then the City of North Olmsted shall have the right to increase the <br />rate of fares, and the City of Fairview Park, in the case of decreased operating <br />- 3r <br />
