~.

MINUTES OF THE SPECIAL MEETING OF THE COUNCIL
OF THE CITY OF NORTH OLMSTED
THURSDAY, FEBRUARY 19, 2009
Present: President Kennedy, Council Members Barker, Gareau, Dailey Jones,
Kearney, Orlowski
Also Present: Mayor O'Grady, Clerk of Council Seman
Absent: Council Member Mahoney
President Kennedy called the special meeting to order at 6:35 p.m. in the Council
Chambers, 5200 Dover Center Road, North Olmsted, Ohio.
All present were asked to join Council in the recitation of the Pledge of Allegiance.
LEGISLATION
Ordinance No. 2009-17 introduced by Mayor O'Grady was given its third reading. An
ordinance dispensing with an RFQ process and authorizing the Mayor to retain and enter
into a contract with Squire, Sanders & Dempsey L. L. P. to provide certain legal services
as bond counsel in connection with the city's 2009 general obligation bond anticipation
note financing, and declaring an emergency. Councilman Barker moved for adoption,
and the motion was seconded by Councilman Gareau. Roll call: Barker, yes; Gareau,
yes with comment that he has had this issue with respect to how the Council proceeds
with hiring bond counsel and dispensing with the RFP process over the past several
years. His reservations continue because he thinks the process should be used to
determine what other services could be available from other qualified firms. Because the
legislation contains an emergency clause and requires five votes, if he voted no, then the
legislation doesn't take effect immediately. Despite his reservations, for the obvious
better reason, he will vote yes at this time but notes that he does so under reservation but
he does so to move the process forward. Roll call continued: Orlowski, yes; Jones, yes,
Kearney, yes. The motion passed unanimously. Ordinance No. 2009-17 adopted.
Ordinance No. 2009-18 introduced by Mayor O'Grady was given its third reading. An
ordinance providing for the issuance and sale of $1,145,000 of notes, in anticipation of
the issuance of bonds, for the purpose of improving certain designated streets in the city,
in cooperation with the Director of Transportation of the State of Ohio and Cuyahoga
County and otherwise, by grading, draining, constructing, reconstructing and
rehabilitating the pavement base, curbs and sidewalks and adjusting, rehabilitating and
reconstructing catch basins, manholes and water valve boxes, where necessary, preparing
the surface and surfacing and resurfacing, in each case together with the necessary
appurtenances and work incidental thereto, and declaring an emergency. Councilman
