Reimbursable Expenses shall be as set forth in Paragraph 3.2. The maximum•cost including direct labor, actual overhead, Reimbursable Expenses, and fixed fee shall not exceed Four Hundred Fifty-Six Thousand Dollars ($456,000.00) without prior amendment to this Agreement. The fixed fee shall be Fifty Thousand Dollars ($50, 000 .00) . Exhibit "B" attached hereto is an estimate of cost to be incurred in the performance of this Project. Such is attached hereto for informational and representational purposes only, and not for purposes of payment or Agreement amount. Exhibit "C" attached hereto is the breakdown of estimated manhours for each task.- These hours are subject to revision as services are requested by the City. 3.2~~' ~~ Reimbursable Expenses Reimbursable Expenses include direct and indirect expenditures made by Dalton, its employees, or its professional consultants in the interest of the Project for the expenses listed as follows: 3.2.1 Expense of transportation and living when traveling in connection with the Project and long distance calls and telegrams. 3.2.2 Expense of reproductions, postage, and handling of drawings and reports. 3.2.3 Expense of computer time at commercial rates. 3.2.4 Expense of minority business enterprise subcontracts. 3.2.5 Expense of pilot plant equipment and supplies. '3.'3 ~ ~ ~ Additional Services For Additional Services as set forth in Paragraph 1.7, the City and Dalton shall negotiate a fee prior to commencement of work . 3.~4 ~ ~ ~ ' ~ Method o~f Payment 3.4.1 Payments shall be made monthly within thirty (30) days of date of invoice based upon hours or expenses incurred. 3.4.2 If scope of the Project is changed materially, compensation shall be subject to increase. -6-
