The City shall examine documents submitted ~ by Dalton and shall render decisions pertaining thereto promptly, to avoid unreasonable delay in the progress of Dalton's services. 2.3 The City shall furnish such without expense to Dalton surveying, soils consulting, testing, legal, accounting, and insurance counseling services for the Project as may.be~ deemed necessary by both parties. 2.4 The services, information, surveys, and reports required. by Paragraphs 2.1 and 2.3 shall be furnished~at the City's expense, and Dalton shall be entitled to rely upon the accuracy and completeness thereof. 2.5 .The City shall furnish any required information as expeditiously as necessary for the orderly progress of the Work. ARTICLE 3, COMPENSATION 3.1 Basic Services , 3.1.1 For Dalton's Basic Services as set forth in Para- graph 1.1, a Basic Fee shall be paid Dalton computed on a cost plus a fixed fee basis. The fixed fee shall be Thirty- Three Thousand Seven Hundred Forty-Eight Dollars ($33,748.00). A cost summary is attached hereto as Exhibit "A" for infor- mational purposes only and not as a basis for payment. A task breakdown is attached as Exhibit "B"-for informational purposes only and not as a basis for payment. 3.1.2 The total payment for Basic Services including Reimbursable Expenses shall not exceed Three Hundred Seventy- Eight Thousand Dollars ($378,000.00) without amendment of this Agreement. 3.1.3 Direct personnel cost is defined as the salaries of all personnel employed on the project plus the direct salary overhead plus the indirect overhead covering general and administrative expenses. 3.1.4 Reimbursable Expenses include direct and indirect expenditures made by Dalton, its employees, or its professional consultants in the interest of the Project for the expenses listed as follows: .1. Expense of transportation and living when traveling in connection with the Project outside Cuyahoga County, and long distance calls and telegrams. .2 Expense of reproductions, postage, and handling of drawings and reports. .3 Expense of computer time at commercial rates. -4- ,.
