CITY OF NORTH OLMSTED <br />0RDI1L`ANCE N0. 80-29 <br />PAGE 22 <br />(c) This North Olmsted Cable Television Advisory Commission shall <br />be~chaired by Mayor or designate. <br />(d) The Advisory Commission shall have the following duties and <br />responsibilities: <br />(1) Advising the Council regarding general policy relating <br />to the operation and uses of access channels with a view toward <br />maximizing the diversity of programs and services to subscribers <br />and users; <br />(2) Recommending to Council when activation of additional <br />access channels is necessary if Grantee elects under the terms of <br />Section 12 ,(c) to initially combine access programming on one <br />access channel; <br />(3) Encouraging the use of access channels among the <br />widest range of institutions, groups and individuals within the <br />city; <br />(4) Encouraging cooperation with universities, museums and <br />other institutions located in the City or in neighboring communi- <br />ties with a view toward utilizing the facilities located therein <br />to enrich the quality and diversity of access channel programming <br />for the system; <br />(5) Advising the Council of changes in the state-of-the-art <br />of cable technology and the applicability of same to access chan- <br />nel programming for the system; and <br />(6) Submitting an annual report to the Council including, <br />but not limited to, a summary of the utilization of access chan- <br />nels, a review of any plans submitted during the year by the <br />Grantee for the development of new services, and a summary report <br />of the Commission deliberations throughout the year in connection <br />with its assigned functions. <br />(e) Advisory Commission Rules and Procedures: <br />The Advisory Commission shall have the authority to submit <br />proposed rules and regulations for the conduct of its business to the <br />Council for approval and, upon approval, shall have the right to hold <br />hearings and make recommendations to the Grantee and to the educational <br />and governmental communities on the coordination of the educational and <br />governmental access channels. All such actions shall be advisory only. <br />(f) The Commission shall meet no less than four (4) times every <br />year. All meetings of the Commission shall be open to the public. <br />SECTION 31: GRANTEE TO HAVE NO RECOURSE <br />Except as expressly provided in this franchise, the Grantee herein <br />shall have no recourse whatsoever against the City for any loss, cost <br />or expense of damage arising out of any of the provisions or require- <br />ments of this franchise or because of the reasonable enforcement there- <br />of by the City, nor for the failure of the City to have the authority <br />to grant all or any part of this franchise. The Grantee expressly <br />acknowledges that upon accepting this franchise it did so relying upon <br />its own investigation and understanding of the power and authority of <br />the City to grant this franchise. The Grantee by acceptance of this <br />franchise acknowledges that it has not been induced to enter into this <br />franchise by any understanding or promise or other statement, whether <br />verbal or written, by or on behalf of the City or by any other third <br />person concerning any term or condition of this franchise not expressed <br />herein. The Grantee further acknowledges by the acceptance of this <br />franchise that it has carefully read the terms and conditions hereof <br />and is willing to and does accept all of the reasonable risks of the <br />meaning of, such terms and conditions and agrees that, in the event of <br />any other dispute over the meaning thereof, the same shall be construed <br />strictly against the Grantee and in favor of the City <br />
