INDENTURE OF LEASE <br />THIS INDENTURE OF LEASE is made and entered into at North Olmsted, Ohio, this <br />day of , 1997, by and between the CITY OF NORTH <br />OLMSTED, an Ohio municipal corporation, hereinafter called "Lessor," and CABLEVISION, a <br />limited partnership, hereinafter called "Lessee." <br />WHEREAS, Lessor has previously leased to Lessee, land in and around its Recreational <br />Center Complex located in the City of North Olmsted pursuant to Ord. No. 81-27, enacted March <br />17, 1981; and <br />WHEREAS, Lessor and Lessee have agreed to renew said lease on the terms and <br />conditions which follow; and <br />WHEREAS said renewed lease will include a certain parcel of land not a part of the <br />original lease, and will exclude another parcel of land which was a part of the original lease. <br />NOW, THEREFORE Lessor and Lessee agree as follows: <br />WITNESSETH: <br />1. Demised Premises. For the rents and upon the terms and conditions hereinafter set <br />forth, Lessor hereby leases unto Lessee the three parcels of land outlined in red on the plot plan <br />marked Exhibit A, attached hereto and made a part hereof, and all easements, rights and privileges <br />appurtenant thereto. If and when obtained, a legal description of said parcels shall be prepared <br />and marked Exhibit B, attached hereto and made a part hereof. Lessor further leases to Lessee all <br />rights of way required (i) for ingress and egress to, from and between such three parcels of land to <br />the nearest public roadway, and (ii) for the installation, operation and use of any utilities as shall <br />be required by Lessee to use said land and the improvements to be constructed thereon for <br />Lessee's intended purposes as set forth in this lease. All of the aforesaid shall hereinafter <br />sometimes be referred to as the "demised real estate." <br />2) A. Term. To have and to hold the above demised real estate with all existing <br />improvements thereon, if any, and appurtenance thereto belonging unto Lessee, for aone-year <br />terms commencing on the 1st day of January, 1997, and expiring on the 3 ] st day of December, <br />1997, unless the term hereby demised shall be sooner terminated or extended as hereinafter <br />provided. <br />B.
