lease, it will negotiate with Lessor a long term lease for the "outside parcels". The said "outside <br />parcels" are identified in Exhibit C attached to this lease. The parties agree that said negotiations <br />will commence on or before September 1, 1997. <br />C. Right to Terminate. In the event the cable franchise granted Lessee by the City <br />of North Olmsted is validly revoked or terminated pursuant to the Renewal Franchise Agreement <br />between Lessor and Lessee as authorized by Ordinance No. 96-88 adopted by the City of North <br />Olmsted, or pursuant to law, this lease shall be terminated without further liability to either party. <br />In addition, the City of North Olmsted may, with or without cause, terminate this lease at any <br />time, upon giving 90 days advance notice in writing to Lessee. <br />3) Rent. In consideration of said demise, Lessee covenants and agrees to pay to <br />Lessor, as rent for the use of said demised premises for the term hereof, the sum of Sixty <br />Thousand Dollars ($60,000.00) per year, in equal monthly installments of Five Thousand Dollars <br />($5,000.00) each, payable in current legal tender of the United States of America, as the same is <br />then by law constituted. All such sums are due and payable in advance, on the first day of each <br />and every calendar month during said term, at 5206 Dover Center Road, North Olmsted, Ohio <br />44070, or at such other place as Lessor may in writing designate. If this lease commences other <br />than on the first day of the month, the rent shall be prorated based on the part month in question. <br />4) Use. The demised real estate shall be used primarily as follows: (i) Parcel No. 1 <br />shall be used primarily for Lessee's studio and offices; (ii) Parcel No. 2 shall be used primarily for <br />parking of Lessee's cars and service vehicles; and (iii) Parcel No. 3 shall be used primarily for <br />Lessee's receiving equipment, head-end facility, earth station, tower, etc. <br />In addition, the Lessee shall have the right to use the demised real estate for all activities <br />necessary or incidental to the operation of a franchise cable system; provided, however, that the <br />demised real estate and improvements thereupon shall be used at all times in accordance with all <br />rules, regulations, and ordinances of the City of North Olmsted. <br />5) Taxes and Other Charges Pays~ble by Lessee. Said Lessee agrees, in addition to <br />the rent hereinbefore provided and as a part of the consideration for this lease, to bear, pay and <br />discharge, at Lessee's own cost and expense and as promptly as the same shall become due (and <br />before any penalty is added thereto or imposed thereon because of nonpayment), all legal taxes, <br />assessments (both general and special), levies, license fees, dues, ministerial rents, water rents, <br />2 <br /> <br />
