<br />commencing upon the date of execution of this Agreement by the City following <br />authorization by the Legislative and Executive branches of the City. <br />2. This Revocable Licensing Agreement shall continue from year to year until <br />such time as the City, for any reason whatsoever, shall direct that the signage and <br />appurtenant landscaping be removed. In the event of such action, the City shall give <br />Woodpath thirty (30) days notice to remove, during which time Woodpath shall, at its sole <br />cost, remove such signage and landscaping, and restore the site to a final graded, seeded <br />condition. If, for any reason, Woodpath should fail to comply with the directive of the City <br />within the thirty (30) day period, then the City may, on its own, remove the signage and <br />landscaping, restore the premises to a final graded, seeded condition, and charge all the <br />reasonable expense thereof to Woodpath. <br />3. Woodpath agrees to construct and maintain its sign and landscaping in <br />accordance with the plan it submitted to, and which was approved by, the City Planning <br />Commission on September 26, 1989. In the event that Woodpath fails to construct or <br />maintain the sign and landscaping as presented within its plan, the City may revoke this <br />license and recover from Woodpath damages from any injury caused to the City's property, <br />including its cost of restoring the property to a final graded, seeded condition. <br />4. At all times during the period in which this Revocable Licensing Agreement <br />shall be in effect, Woodpath shall indemnify and hold harmless the City from any and all <br />liability whatsoever which may arise as a result of the placement and/or maintenance of the <br />proposed sign upon the City-owned property. Further, Woodpath shall, at its sole expense, <br />maintain insurance coverage with an insurer acceptable to the City insurance carrier in a <br />face amount of not less than Five Hundred Thousand Dollars ($500,000.00), naming the <br />City as an additional insured, and covering all risks identified above.
