All <br />direction and authorization shall be by or through such <br />representative. The City shall examine documents submitted <br />by Dalton and shall render decisions pertaining thereto <br />promptly, to avoid unreasonable delay in the progress of <br />Dalton's services. <br />2.3 The City shall furnish such without expense to <br />Dalton surveying, soils consulting, testing, legal, account- <br />ing, and insurance counseling services as may be necessary <br />for the Project. <br />2.4 The services, information, surveys, and reports <br />required by Paragraphs 2.1 and 2.3 shall be furnished at the <br />City's expense, and Dalton shall be entitled to rely upon <br />the accuracy and completeness thereof. <br />2.5 The City shall furnish any required information as <br />expeditiously as necessary for the orderly progress of the <br />Work. <br />ARTICLE 3, COMPENSATION <br />3.1 Basic Services <br />3.1.1 For Dalton's Basic Services as set forth in <br />Paragraphs 1.1 through 1.13., a Basic Fee shall be paid <br />Dalton computed on a cost plus a fixed fee basis. A cost <br />summary is attached hereto as Exhibit A. A task breakdown <br />is attached as Exhibit B. <br />3.1.2 Payments for Dalton's Basic Services shall be made <br />monthly on the basis of cost reimbursement of actual personnel <br />cost, plus Reimbursable Expenses, plus a fixed fee payment <br />based upon the percentage of completion. <br />3.1.3 Actual personnel cost is defined as the salaries <br />of all personnel employed on the project plus the direct <br />salary overhead plus the indirect overhead covering general <br />and administrative expenses. <br />3.1.4 The total payment for Basic Services shall not <br />exceed One Hundred Sixty-Six Thousand Dollars ($166,000.00) <br />without amendment of this Agreement. <br />3.1.5 Reimbursable Expenses include direct and indirect <br />expenditures made by Dalton, its employees, or its profes- <br />sional consultants in the interest of the Project for the <br />expenses listed as follows: <br />-5-
