THE VILLAGE OF NORTH 0111STED assumes fully responsi- bility for the operation of its busses and shall at all times 7 hereunder defend and indemnify the VILLAGE OF FAIRVIM7 and its officials from any and all losses, damages, suits, claims and demands for injury to persons or property to which the Village of North Olmsted and/or the Village of Fairview may be subject to any proceedings at law or otherwise growing out of the wrongful enjoyment of the same by the Village of North Olmsted. The Village of North Olmsted shall at its own cost defend against such actions in its own name or in the name of the Village of Fairview. It is mutually agreed between the parties hereto that should any question arise regarding the interpretation or meaning of this contract which cannot be adjusted by the parties hereto, then the council of each municipality shall name one arbitrator each and the two arbitrators so appointed shall name a third; arbitrator and the three shall determine by majority vote the question involved. The decision of the arbitrators shall be accepted by and be binding upon the parties hereto. It is further agreed between the parties hereto that if the actual `cost of operation, which shall include wages of drivers and other employees properly chargeable to' said route, fuel and lubricants, tires and tubes, maintenance of equipment used on such routes, depreciation on such equipment, public liability and property damage insurance, together with such part of the general overhead -of the Village of North Olmsted as is properly applicable thereto under methods of accounting in•the bus transportation business accepted by recognized certified public accountants, shall increase materially during the life of this contract, then the Village of North Olmsted shall have the right to increase the rate of fare; provided, however, that no change in fare shall be made without first submitting the same to the Council of the Village of Fairview, and if the Village of Fairview is dissatisfied with the proposed 3.
