5.2 All invoices shall be in the firmat requested by the CITY as referenced in Exhibit II, <br /> Method of Payment. <br /> 5.3 The CONTRACTOR covenants and agrees to pay all persons and corporations, <br /> including employees, subcontractors, materialmen, agents, and all otherworking in active concert <br /> with such persons or corporations, who furnish materials or render services in connection with the <br /> performance of this Agreement. <br /> SECTION 6. CHANGES <br /> 6.1 The CITY may, at any time, by written order, make changes within the general <br /> scope of this Agreement in the SERVICES to be performed. <br /> 6.2 If such changes cause an increase or decrease in the CONTRACTOR's cost of or <br /> time required for,performance of services required under this Agreement, an equitable adjustment <br /> shall be made, and this Agreement shall be rmdified in writing accordingly, subject to any <br /> requirements of the laws ofthe City of North Olmsted, Ohio. <br /> 6.3 CONTRACTOR shall not submit claims, and shall not be entitled to additional <br /> compensation, f r additional work resulting from conflicts, errors, or discrepancies, if such was <br /> discovered, or reasonably discoverable,by CONTRACTOR prior to the time it entered into this <br /> Agreement. <br /> SECTION 7. DISPUTES <br /> 7.1 Except as this agreement otherwise provides, all claims, counterclaims, disputes <br /> and other matters in question between the CITY and the CONTRACTOR out of or relating to <br /> this Agreement or the breach of it will be decided by mediation if the parties hereto mutually <br /> agree, or in a court of competent jurisdiction within the State of Ohio, County of Cuyahoga. <br /> SECTION 8. SUSPENSION OF SERVICES <br /> 8.1 The CITY may order the CONTRACTOR to suspend, delay or interrupt all or any <br /> part of the SERVICES for such period of time as the CITY may determine to be appropriate for the <br /> convenience ofthe CITY. <br /> 3 <br />
