THIS AGREEMENT made and entered into this 2nd day of April 2018 by and between the City of
<br />North Olmsted, Ohio (hereinafter referred to as "City") and Clark & Post Architects, Inc., 6125 South
<br />Broadway, Lorain, OH 44053 (hereinafter referred to as the "Architect").
<br />WITNESSETH THAT
<br />WHEREAS, The Ohio Building Code (OBC) requires that the City engage the services of a Master
<br />Plans Examiner in order to perform a governmental function as defined under ORC 2744.01 (C)(1)(p);
<br />and
<br />WHEREAS, Ordinance 2018-_ approved by City Council on the _ day of , 2018
<br />authorized the Mayor to dispense with the RFP process and enter into an agreement with Architect for
<br />the purpose of providing back-up plans examination services [hereinafter referred to as the "Services"]
<br />to the City; and
<br />WHEREAS, the Architect is duly certified by the State of Ohio as a Master Plans Examiner and is in
<br />good standing with the State of Ohio;
<br />NOW THEREFORE, in consideration of mutual promises, covenants, and agreements herein contained,
<br />the parties do hereby agree as follows:
<br />TERMS
<br />This agreement shall be for three (3) years commencing on the date of the agreement, and may be
<br />terminated by either party giving thirty (30) days written notice to the other party.
<br />SERVICES/SCOPE OF WORK
<br />Basic Services:
<br />The Architect shall act as Back -Up Master Plans Examiner. When acting in the capacity of a Plans
<br />Examiner, the Architect shall perform the examination duty required of a Master Plans Examiner defined
<br />by OBC 107.4 and OBC 107.5. To the extent reasonably necessary to enable the Architect to perform the
<br />duties hereunder, the Architect, after notice and consent from City, is authorized to engage the services
<br />or retain any other person(s) or corporation(s) necessary to aid or assist in the proper performance of the
<br />duties, all at a fee not greater than those fees set forth herein. Architect shall not charge City a fee for
<br />such services of other persons or corporations in excess of the actual fee charged by such other persons
<br />or corporations.
<br />Additional Services:
<br />At the request of the City, Building Official, representative, or subpoena, the Architect shall, upon
<br />reasonable notice:
