EXHIBIT AGREEMENT FOR GYMNASTIC PROGRAM SERVICES THIS AGREEMENT is made this 14th day of August, 2018 at the City of North Olmsted, County of Cuyahoga, State of Ohio, between the City of North Olmsted, a municipal corporation ("the city") and North Olmsted Gymnastics Inc, 386 Crossbrook Drive, Berea, Ohio 44017. WHEREAS, North Olmsted Gymnastics has provided gymnastics programs for the City at the North Olmsted Recreation Complex pursuant to various contracts since September 1, 1999; and WHEREAS, the parties presently desire to renew and extend the contract for an additional one (1) year term, commencing on September 1, 2018, and concluding, unless further renewed, on August 31, 2019. NOW, THEREFORE, the parties have agreed, on the date first written, to the following terms, covenants and conditions set forth below, acknowledging that sufficient consideration exists for said modifications. Section I Nature of and Place of Services North Olmsted Gymnastics shall administer a program of gymnastics for the City, and shall perform such other duties as are customarily performed by one holding such position in other similar businesses or enterprises as that engaged in by the City, and shall also additionally render such other and unrelated services and duties as may be assigned to North Olmsted Gymnastics from time to time by the City. Section II Criminal Background Check North Olmsted Gymnastics shall comply with and abide by North Olmsted Code Section 131.03 with respect to criminal background checks. The City reserves the right to cancel and render this agreement void, ab initio, if in the judgment and the sole discretion of the Mayor, the background check requirement is either not met or the history of any subcontractor or employee of North Olmsted Gymnastics, is deemed unacceptable. North Olmsted Gymnastics hereby acknowledges that the failure of this condition precedent, for any reasons cited hereinabove, shall render the agreement void, without recourse or claim by North Olmsted Gymnastics. All North Olmsted Gymnastics staff members will complete the City of North Olmsted background and drug screening tests. Section III Manner of Performance of Services North Olmsted Gymnastics agrees to perform, at all times faithfully, industriously, and to the best of their ability, experience, and talent, all of the duties that may be required of and from North Olmsted Gymnastics pursuant to the express and implicit terms of this agreement, to the reasonable satisfaction of the City.
