EXHIBIT A <br />? <br />? <br />ORDINANCE 82-126 <br />AGREEMENT <br />iHIS AGREEMENT made at North Olmsted, Ohio; this <br />day of , 1982, between The Great Northern Partnership <br />("Great Northern ,Nortfi Olmsted, Ohio, and THE CITY OF NORTH OLMSTED, <br />OHIO, A Municipal Corporation (the "City"). <br />W I T N E S S E T H: <br />WHEREAS, The Great Northern Partnership owns or controls lands <br />identified by Auditor's Permanent Parcel Numbers 236-9-2, 236-9-3, <br />236-13-5 and 236-13-11 ("Great Northern Property" located in the City of <br />North Olmsted on the PJortherly side of Country Club 6oulevard; and <br />WHEREAS, the City through Ordinance No. 82-127 has approved <br />installation of traffic signalization at the intersection of Country Club <br />Boulevard and the second Great Northern Shopping Center Qriveway west of <br />Great Northern Boulevard; and <br />MIHEREAS, the City required that Great Northern, at Great <br />Northern's sole cost and expense, shall install new traffic signalization <br />on Country Club Boulevard at the intersection of the second Shopping Center <br />Qrive west of Great Northern Boulevard consisting of polycarbonite traffic <br />signal heads with 12 inch lens mounted on steel poles and mast arms; <br />pedestrian heads mounted on aluminum poles, a four-phase, semi-actuated, <br />solid state, Multisonics P1ode1 911B digital controller with necessary <br />vehicle detection devices on Country C1ub 6oulevard and on the Great <br />Northern Shopping Center Drive, pedestrian actuation devices, inter- <br />connecting to the City's Great Northern Boulevard signal system; develop- <br />ment of all plans, specifications and estimates of costs to be prepared in <br />accordance with the OHIO MANUAL OF UNIFORM TRAFFIC CONTROL DEVICES by a <br />qualified Registered Professional Engineer licensed to practice in the State <br />of Ohio and approved by the City Engineer; and <br />WHEREAS, following the installation of said traffic signalization <br />and appurtenances, the same are intended to be the property of the City, <br />and City is hereafter to be liable and responsible for the operation, <br />maintenance and replacement of said traffic signalization; <br />NOW, THEREFORE, for valuable consideration, the receipt and legal <br />sufficiency of which are hereby acknowledged, the parties agree: <br />1. Great Northern, at Great Northern's sole cost and expense, <br />will have prepared by a Registered Professional Engineer in the State of <br />Ohio plans, specifications and estimates of cost approved by the City <br />Engineer for the Country Club Boulevard intersection with the second <br />Shopping Center Drive west of Great Northern Boulevard. <br />2. The plans shall include yellow polycarbonite signal heads <br />with 12 inch lens mounted on steel poles and mast arms; pedestrian heads <br />mounted on aluminum poles; a four-phase, semi-actuated, solid state, <br />Multisonics 911B digital controller with necessary overlap modules and <br />vehicle detection equipment on Country Club Boulevard, and on the Great <br />Northern Shopping Center Drive and pedestrian actuation devices; inter- <br />connecting to the City's Great Northern Boulevard signal system; two time <br />clocks,with reserve spring, one for flash operation and one for free <br />operation; an aluminum base niounted cabinet painted white inside and <br />outside; all in accordance with the City's Engineering Department's <br />specifications.
