waiver, modification, or discharge of any provision of this Agreement shall be valid unless made <br />in writing and signed by an authorized representative of the party against whom such waiver, <br />modification, or discharge is sought to be enforced. <br />10. ASSIGNMENT <br />The Participating Community shall not assign, transfer, convey or otherwise dispose of this <br />Agreement, or its right to execute it, or its right, title or interest in or to it or any part thereof, or <br />assign, by power of attorney or otherwise, any of the monies due or to become due under this <br />Agreement without approval of County Planning. <br />11. RECORD AUDIT RETENTION <br />Each party shall maintain all books, records, and documents pertaining to this Agreement and <br />make them available for audit and examination upon reasonable request during the term of <br />this Agreement and for a period of two (2) years following expiration or final payment, <br />whichever is later. In the event either party is notified that an audit has been commenced <br />pursuant to Ohio Revised Code Section 117.11 for which such records are material, those records <br />shall be retained until the audit is complete. <br />12. SEVERABILITY <br />If any provision of this Agreement is held by a court of competent jurisdiction to be <br />unenforceable, the remaining provisions of this Agreement shall remain in full force and effect. <br />13. LIABILITY <br />Each party to this Agreement is a political subdivision of the State of Ohio subject to the Ohio <br />Political Subdivision Tort Liability Act, Ohio Revised Code Chapter 2744. Nothing in this <br />Agreement shall be construed to limit, waive, or modify any immunity, defense, or limitation <br />on liability available to either party under applicable Ohio law. <br />14. COUNTERPARTS <br />This Agreement may be executed in several counterparts, each of which shall be deemed to <br />be an original copy, and all of which together shall constitute one Agreement binding on all <br />parties hereto, notwithstanding that all the parties shall not have signed the same counterpart. <br />15. CONFLICTS OF INTEREST <br />Each party represents that its personnel and officials involved in this Agreement are subject to <br />and shall comply with applicable Ohio ethics laws, including Ohio Revised Code Chapters 102 <br />and 2921. Each party shall promptly disclose to the other any actual or potential conflict of <br />interest that arises in connection with this Agreement. <br />
