6. ATTRIBUTION <br />The Participating Community shall acknowledge the Cuyahoga County Planning <br />Commission as the author and administrator of the UZC in all materials related to the UZC, <br />including official documents, public presentations, and written and digital communications. <br />At a minimum, such acknowledgment shall include the Cuyahoga County Planning <br />Commission logo and a credit line identifying the UZC as a product of the Cuyahoga County <br />Planning Commission. <br />7. ENTIRE AGREEMENT AND MODIFICATION <br />This Agreement, including any Exhibits and documents referred to in this Agreement or <br />attached hereto, each of which is incorporated herein, constitutes the entire and exclusive <br />statement of the Agreement between the parties with respect to its subject matter and there <br />are no oral or written representations, understandings or agreements relating to this <br />Agreement which are not fully expressed herein. The Parties agree that any other terms or <br />conditions included in any quotes, acknowledgments, bills of lading or other forms utilized or <br />exchanged by the Parties shall not be incorporated herein or be binding unless expressly <br />agreed upon in writing by authorized representatives of the Parties. No modification, change, <br />or amendment hereof shall be valid unless such is in writing and signed by the authorized <br />representative of the Party against which such modification, change or amendment is sought <br />to be enforced. <br />8. TERMINATION <br />Either party may terminate this Agreement for convenience, without cause, upon thirty (30) <br />days written notice delivered to the other party at the address specified in the Notice <br />provision of this Agreement. <br />Upon termination by the Participating Community, the initial contribution of TWENTY-FIVE <br />THOUSAND DOLLARS AND NO CENTS ($25,000.00) shall be non-refundable. Termination by <br />one participating community shall not affect the validity or continuation of this Agreement <br />with any remaining participating communities. <br />Should the number of participating communities fall below five (5), or should County <br />Planning determine that sufficient funding has not been secured to the undertake the UZC <br />project, County Planning shall have the right to reassess the viability of the UZC project. <br />County Planning may, in its sole discretion, elect to seek additional funding, recruit additional <br />community members, or terminate the project upon written notice to all remaining <br />Participating Communities. In the event of project termination by County Planning under <br />this provision, all prior contributions shall remain non-refundable. <br />9. WAIVER <br />The failure by either Party to enforce any provision of this Agreement shall not be construed as <br />a waiver of that party's right to enforce such provision or any other provision in the future.
