County Planning shall issue an invoice to Participating Community upon execution of this <br />Agreement. Payment shall be remitted in full within sixty (60) days of receipt of the invoice, <br />unless the parties agree in writing to an alternative payment date. County Planning shall <br />issue no additional invoices to Participating Community under this Agreement. <br />4. ROLES AND RESPONSIBILITIES <br />Participating Community agrees to make available to County Planning all the information <br />needed to meet the requirements of the Scope of Work, including all records, publications, <br />data, reports, plans, and other information that may be useful in the performance of the work <br />contemplated by this Agreement. Participating Community also agrees to assist in <br />scheduling the requisite meetings identified in the Scope of Work in a timely manner to <br />adhere to the timeline and schedule included in the Scope of Work. <br />County Planning will be responsible for attending and facilitating various meetings with <br />Participating Community staff and officials, stakeholders, focus groups, and the public; <br />collecting and analyzing data; summarizing and integrating engagement results and <br />feedback from the aforementioned parties; producing and managing a request for proposals <br />and/or qualifications; selecting and managing a consultant(s); and producing any draft and <br />final documents as outlined in the Scope of Work. <br />Participating Community agrees that, within twelve (12) months following County Planning's <br />delivery of the final UZC, it shall initiate and complete its internal zoning amendment process <br />in good faith, including planning commission review, required public hearings, and <br />presentation of the final UZC to its legislative body for consideration and a vote on adoption. <br />Nothing in this Agreement shall be construed to require any Participating Community to <br />adopt the UZC, it being understood that the final decision to adopt rests solely with each <br />community's legislative body in the exercise of its lawful authority. <br />S. OWNERSHIP AND LOCAL AUTHORITY <br />The UZC, including all work product, documents, and materials developed by County <br />Planning and its consultants in connection with this Agreement, shall be and remain the sole <br />property of the Cuyahoga County Planning Commission. County Planning shall retain all <br />rights to update, maintain, and make available the master UZC to participating communities. <br />The Participating Community retains full legislative authority to make local amendments to <br />the UZC in accordance with applicable Ohio law. Participating Community acknowledges <br />that local amendments made independently by the Participating Community may cause its <br />code to diverge from the UZC maintained by County Planning. Such divergence shall not <br />constitute a breach of this Agreement. <br />
