WHEREAS, on April 9, 2026, the Cuyahoga County Planning Commission Board voted <br />to approve Resolution No. 260409-C, authorizing County Planning to accept funds and to <br />provide in -kind services to develop the UZC; and <br />WHEREAS, this Agreement is limited to the development and initial adoption phase <br />of the UZC, and the parties anticipate that ongoing maintenance and support services <br />following adoption will be addressed under a separate agreement between County Planning <br />and participating communities; and <br />WHEREAS, the Cuyahoga County Planning Commission is a contracting authority <br />pursuant to Ohio Revised Code Sections 713.22(D) and 713.23(B)(4), and may contract with <br />federal, state, and local units of government and civic organizations to provide planning and <br />technical services; and <br />WHEREAS, the Participating Community has expressed interest in participating in the <br />UZC, recognizing that participation in the Consortium represents a substantially more cost- <br />effective approach to zoning modernization than independent zoning reform; and <br />WHEREAS, County Planning and the Participating Community intend to enter into <br />this Agreement for development and initial adoption phase of the UZC and anticipate that <br />ongoing maintenance and support services following adoption will be addressed under a <br />separate agreement between County Planning and Participating Community. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements set <br />forth herein, and for other good and valuable consideration, the receipt and sufficiency of <br />which are hereby acknowledged, the parties agree as follows: <br />1. SCOPE OF WORK <br />County Planning shall provide the professional planning services required to complete the <br />UZC as described in the Scope of Work attached hereto as Exhibit B and incorporated herein <br />by reference. This Agreement is limited to the development and initial adoption phase of the <br />UZC. <br />2. TERM <br />This Agreement shall remain in effect from the Effective Date until the completion of the <br />Scope of Work or June 30, 2029, whichever is earlier. This term may be extended by mutual <br />written agreement of the parties at least thirty (30) days prior to expiration. <br />3. COSTS AND PAYMENT <br />Participating Community agrees to pay County Planning an amount not to exceed TWENTY- <br />FIVE THOUSAND DOLLARS AND NO CENTS ($25,000.00) toward the costs of the UZC. <br />Participating Community agrees that this contribution constitutes a flat fee and is not <br />contingent upon the completion of any specific phase of the Scope of Work. <br />r + <br />r: <br />
