permits, licenses and other required authorizations in connection <br />with such establishment, construction, operation, and maintenance <br />of the cable system and system facilities. <br /> <br />SECTION 13. RECEIVERSHIP AND FORECLOSURE:TRANSFER <br /> <br /> The rights and privileges herein granted shall not be <br />assignable or transferable without the consent of the City in any <br />bankruptcy proceedings, trusteeship, receivership, or by <br />operation of any law, in any of which events this franchise <br />shall, at the option of the City, terminate forthwith; nor shall <br />said Company sell, lease, assign or otherwise alienate this <br />franchise or any privilege hereunder to an entity not under <br />common control with the Company without the prior approval of <br />Council. Such approval shall not be unreasonably withheld. <br /> <br />SECTION 14. CUSTOMER SERVICE <br /> <br /> (a) Business Office At all times during the term of this <br />Agreement and any renewal thereof the Company shall maintain <br />within the City a local business office. This provision shall be <br />complied with if the Company maintains a location with business <br />hours at least three (3) days per week where subscribers may pick <br />up, return or exchange customer equipment (e.g., converter, <br />remote control).
