the conclusion of the filling operation the slope of the <br /> fill shall be of a ratio of approximately 2:1 to achieve <br /> minimum slippage and maximum additional property area. <br /> <br /> 10. The City agrees that upon completion of <br /> the fill it shall seed the slope with slope seed and shall <br /> take reasonable measures to establish stable growth. <br /> <br /> 11. The City agrees to indemnify, defend and <br /> save harmless the Owner of and from and against any and all <br /> suits, claims, demands, costs and expenses arising out of <br /> damage or injury to persons or property resulting from the <br /> Site and relating to the filling operations, including, <br /> without limitation, upon notice, reasonable attorneys fees, <br /> and the City agrees to accept full responsibility for <br /> removal of any spillage and remedying of any such complaints <br /> or claims. This clause shall survive the expiration or <br /> termination of this Agreement for a period of one year. <br /> <br /> 12. The parties agree that the performance <br />of the matters referred to in this Agreement shall be done <br />and performed without charge or compensation either by the <br />City or the Owner and the City agrees to assume all reason- <br />able costs in connection with and/or arising out of the <br />filling operations, including, without limitation, upon <br />notice, reasonable attorney fees incurred by the Owner. <br /> <br /> 13. This Agreement shall terminate at such <br />time as the area is filled to a grade as agreed upon by the <br />parties hereto with reference to the conditions of paragraph <br />9 herein; or by either party prior to such time by giving <br />thirty days written notice to the other party by mail ad- <br />dressed to its usual place of business. Should either party <br />terminate upon thirty days notice the City shall insure that <br />the slope of the fill is of a ratio of approximately 2:1 to <br /> <br />-3- <br /> <br /> <br />
