relating to work to be performed shall be subject to theprior <br />written consent of the Redeveloper, which approval shall not be <br />unreasonably withheld. <br /> <br /> (i) Easements. <br /> <br /> With the exception of any easements or other rights <br /> <br />granted to or for the benefit of the City or the public within <br />the Project Area retained by the City for public purposes, the <br />City agrees not to place any easements or restrictions of <br />record on the Redevelopment Properties other than those <br />easements and restrictions shown in the survey and Title Policy <br />and/or otherwise expressly provided for by. this Agreement, or <br />as necessary for use by public utilities. <br /> <br /> The City shall grant to Redeveloper, at or prior to <br />closing and for no additional consideration, all easement and <br />right-of-way privileges required by Redeveloper with respect to <br />the public purpose componen{s of the Project. To the extent <br />permitted by law,· sUch easements and rights-of-way shall be for <br />the exclusive and perpetual benefit of the Project, its owners, <br />tenants, customers, and users, the purpose or purposes thereof <br />to include, but not be limited to, constrUction, maintenance, <br />signage, pedestrian and vehicular ingress and egress, parking, <br />trash storage and removal, utilities and other Project-related <br />requirements. <br /> <br /> (j) Title Defects. <br /> <br /> If there exists any breaCh of warranty by the City, or <br /> <br />'if there exists any lien or encumbrance (other than Permitted <br /> <br />Exceptions) that would impair or hinder the development of the <br /> <br />- 10 - <br /> <br /> <br />
