Commencement Date: The date commencement of Subgrantee's Work begins which shall be no <br />later than sixty (60) days following the Subgrant Closing Date. <br />Completion Date: The date Subgrantee's Work is completed which shall be either 1) on or before <br />the first day of the twelfth (12t) calendar month after the Subgrant Closing Date or 2) July 31, <br />2015, whichever is earlier. <br />Community Relations Plan: The plan prepared by the Grantor and approved by the USEPA that <br />sets forth the community participation requirements for the Project, which is attached as Exhibit F. <br />Cooperative Agreement: The Cooperative Agreement (Assistance ID Number BF- OOE64101 -2) <br />between Grantor and the USEPA governing the use of Grants under the USEPA BRLF Program, <br />which Cooperative Agreement is attached as Exhibit D. <br />Cross - cutting Requirements: All applicable cross- cutting requirements set forth in the <br />Cooperative Agreement, and more fully described in Exhibit E, including, without limitation, <br />SBE/MBE/WBE requirements found at 40 C.F.R. 31.36 (e) or 40 C.F.R. 30.44 (b); OSHA <br />Worker Health & Safety Standard 29 C.F.R. 1910.120; the Uniform Relocation Act; National <br />Historic Preservation Act; Endangered Species Act; and Permits required by Section 404 of the <br />Clean Water Act; Executive Order 11246, Equal Employment Opportunity, and implementing <br />regulations at 41 C.F.R. 60 -4; Contract Work Hours and Safety Standards Act, as amended (40 <br />USC 327 -333); the Anti Kickback Act (40 USC 276c) and Section 504 of the Rehabilitation Act <br />of 1973 as implemented by Executive Orders 11914 and 11250; carrying out procurements, <br />having a financial management system, and performing audits, all in accordance with 40 C.F.R. <br />Section 30. <br />Default: One or more of the events or occurrences set forth in Article VI of this Agreement. <br />Designated Representative: Laura Clark of the Cuyahoga County Department of Development or <br />such other person as is designated by the Department of Development. <br />Disbursement: A disbursement by Grantor of Grant Proceeds to pay for Eligible Costs as <br />contemplated by Article IV. <br />Eligibility Determination form: The form containing information and representations from <br />Subgrantee verifying that the Property and Subgrantee are eligible under CERCLA Sections <br />101(39) and 107 and the Cooperative Agreement, which form is attached to this Agreement and <br />incorporated herein as Exhibit G. - <br />Eligible Costs: Whether incurred before or after the date of this Agreement, the costs of the <br />Subgrantee's Work in compliance with the requirements of CERCLA 104(k) and applicable <br />federal and state laws and regulation, as limited by the Cooperative Agreement, including the <br />actual costs of ACM removal and disposal, Project start -up, initial and interim inspections, <br />clearance sampling, document and letter reports. Eligible Costs do not include commercial <br />goods or services for the Subgrantee. <br />`ZI! <br />
