4. During the Second Extended Term, Landlord and Tenant shall develop a mutually <br />acceptable signage plan so as to provide Tenant with additional signage visibility on <br />Belle Avenue and/or St. Charles Avenue. Tenant agrees that it shall be solely <br />responsible for all costs incurred in connection with such additional signage and shall <br />either pay the vendors directly or reimburse Landlord for the cost of such additional <br />signage. Moreover, Tenant agrees that the current signage for the parking spaces <br />currently devoted for pickup and drop off for Tenant's customers in the parking lot <br />adjacent to the Building may be modified by Landlord to provide for such parking spaces <br />to be utilized for pickup and drop off by Tenant's customers only during the hours of 7 <br />A.M. — 10 A.M. and 3 P.M. - 6 P.M. <br />5. The parties hereto acknowledge and agree that, other than North Pointe Realty, Inc., <br />which represents Landlord and whose entire commission shall be paid by Landlord <br />pursuant to separate agreement, no other real estate broker, finder or agent was <br />involved in this transaction and that no commission, finder's fee or other remuneration is <br />due to any other real estate broker, finder or agent in connection with the transaction <br />described herein. Each party shall indemnify, protect, hold harmless and defend the <br />other party from and against any and all liabilities, claims, demands, losses, lawsuits, <br />judgments, costs and expenses (including reasonable attorneys' fees) brought by and <br />alleged to be owning on account of the indemnifying party's dealings with any other <br />broker, finder or agent. <br />6. Landlord and Tenant hereby agree and covenant that this Second Amendment has been <br />prepared exclusively for the use of the parties hereto. Neither Landlord nor Tenant shall <br />release this Second Amendment to any third party except if required by law or upon prior <br />written consent of Landlord. The obligations of this clause shall survive the expiration or <br />earlier termination of the Lease. <br />7. All capitalized terms set forth in the Lease shall have the same meaning in this Second <br />Amendment, <br />8. This Second Amendment may be executed in any number of counterparts, and by each <br />of the parties in separate counterparts, each of which, when so executed, shall be <br />deemed an original, but all of which shall constitute but one and the same instrument. <br />9 <br />
